Corporate Legal Advisory and Management Decisions

Important business decisions need clear legal judgement. Signing a contract, approving a resolution, entering a new joint venture or taking on a financial commitment can have different legal consequences for the company, its shareholders and its directors.

The Ghazaal Majdzadeh Legal Practice starts from the commercial objective and the legal dimensions of each matter, helping companies understand their obligations, constraints and legal options before they decide.

Choose the right route

A specific matter, or ongoing support?

The right form of engagement depends on what the company needs. Choose one of the two routes below; if you are unsure, we will settle it in the first meeting.

Route 01 · Matter-based advice

Do you have a specific legal matter?

Reviewing a contract, advising on a management decision or board resolution, supporting a negotiation or assessing a particular dispute, with an agreed scope and deliverable.

Suited to

  • A contract or transaction that needs review before signing
  • A decision or resolution whose legal effects are unclear
  • A negotiation or dispute already under way

FeesSet by the scope of each matter, agreed before work begins

Route 02 · Ongoing engagement

Do you need ongoing legal support?

Planned access to counsel, regular document review and periodic risk checks, across four levels: Madar, Taraz, Mehvar and Ofogh.

Suited to

  • Many contracts, cheques and day-to-day obligations
  • Regular decisions by the CEO and the board
  • Counsel on call without hiring a full-time lawyer

Corporate legal advisory: frequently asked questions

Do we need an ongoing agreement to have one contract reviewed?

No. Contract review, legal opinions and other matter-based services are provided independently of the ongoing engagement levels.

Is the client the company or its directors?

The client is the company. The role, authority and liability of directors in the company’s decisions are reviewed. Personal advice to an individual director requires a separate agreement and a conflict-of-interest check.

Can counsel attend commercial negotiations?

Yes. The extent of involvement in a negotiation is agreed with the company.

Do you also take on litigation and arbitration?

Representation in litigation and arbitration is accepted after reviewing the matter and conflicts of interest, under a separate agreement.

How does the liability of the CEO differ from that of board members?

Each person’s liability depends on the type of company, their statutory powers, the articles of association and their role in the decision or act in question. The CEO and board members are not always liable in the same way, and personal liability cannot be judged from a job title alone.

Can a dispute between shareholders be resolved without going to court?

In many cases, negotiation, a settlement agreement or arbitration can be considered. The right route depends on any shareholder agreements, the subject of the dispute, third-party rights and whether there is a dispute resolution clause.

Which contracts should counsel review before they are signed?

Priority should go to contracts that create significant financial obligations, heavy remedies, long-term commitments or restrictions on the company’s future activities. Supply, investment, partnership and strategic cooperation agreements are common examples.

What documents are needed for a first corporate consultation?

It depends on the matter, but the articles of association, relevant registry notices, contracts, correspondence and board or shareholder minutes may all be relevant. It is best to send a short outline of the issue first, so the essential documents can be identified.

Tell us about your company’s legal matter.

If you face an important contract, a sensitive management decision, a shareholder issue or a complex transaction, send a short description. After checking acceptance and conflicts of interest, we will set out the meeting arrangements and scope of work.

Please do not send confidential documents before the engagement is confirmed. This content is general information, not legal advice; contacting the practice does not by itself create a lawyer–client relationship.
